Scope of Application

1.1 These Terms of Service (“Terms”) govern the use of the software service (“Service”) provided by the Provider.

1.2 The Service is offered exclusively to consumers for personal use worldwide.

1.3 Any conflicting terms proposed by users shall not apply unless expressly agreed in writing by the Provider.

Description of the Service

2.1 The Provider offers a web-based software solution delivered as Software-as-a-Service (SaaS).

2.2 The specific features and functionality of the Service are described on the Provider’s website at the time of purchase.

2.3 The Provider may enhance, modify, or improve the Service at any time, provided that the core functionality remains substantially intact.

Contract Formation and Payment Processing

3.1 All purchases, subscription management, invoicing, tax handling, and payment processing are conducted through Paddle, which acts as Merchant of Record.

3.2 When purchasing a subscription, the user enters into a commercial transaction with Paddle as reseller of the Service.

3.3 The Provider is responsible for delivering and maintaining the Service.

3.4 Taxes (including VAT, sales tax, or similar) are calculated and handled by Paddle in accordance with applicable laws.

Pricing and Subscription Terms

4.1 Prices are displayed at the time of purchase and may vary depending on subscription type and billing period.

4.2 Subscriptions renew automatically for the selected billing cycle unless canceled before the end of the current billing period.

4.3 Users may cancel their subscription at any time with effect at the end of the current billing cycle.

4.4 Refunds are subject to Paddle’s applicable refund policies unless an additional voluntary guarantee is expressly offered by the Provider.

Right of Withdrawal (Where Applicable)

5.1 If required by applicable consumer protection laws (including within the European Union), users may have a statutory right of withdrawal.

5.2 For digital services, the right of withdrawal may expire if the user:

  • explicitly consents to the immediate commencement of performance, and

  • acknowledges that this consent results in the loss of the withdrawal right.

5.3 Any required withdrawal information is provided during the checkout process.

User Responsibilities

Users agree to:

  • provide accurate information during registration,

  • keep login credentials secure and confidential,

  • use the Service only in compliance with applicable laws,

  • refrain from uploading or transmitting unlawful or harmful content.

The Provider may suspend or terminate access in case of serious or repeated violations.

Availability and Maintenance

7.1 The Provider aims to maintain high availability of the Service but does not guarantee uninterrupted access at all times.

7.2 Temporary interruptions may occur due to maintenance, updates, technical issues, or circumstances beyond reasonable control.

7.3 In case of significant defects, users are entitled to statutory consumer remedies.

Consumer Warranty Rights

For consumers residing in the European Union, statutory rights under applicable consumer and digital content laws remain unaffected.

For consumers outside the EU, mandatory consumer protection provisions of their country of residence remain unaffected where applicable.

Limitation of Liability

9.1 The Provider is liable without limitation in cases of:

  • intent or gross negligence,

  • injury to life, body, or health,

  • liability under mandatory statutory provisions.

9.2 In cases of slight negligence, liability is limited to foreseeable damages typical for this type of contract and only where essential contractual obligations are breached.

9.3 To the maximum extent permitted by law, the Provider shall not be liable for indirect damages, loss of profits, or consequential damages.

9.4 Liability may be limited to the total subscription fees paid during the twelve (12) months preceding the event giving rise to the claim, unless mandatory law provides otherwise.

Intellectual Property

10.1 All intellectual property rights in and to the Service remain the exclusive property of the Provider.

10.2 Users receive a limited, non-exclusive, non-transferable right to use the Service during the subscription period.

10.3 Users may not copy, reverse engineer, resell, sublicense, or otherwise exploit the Service beyond its intended use.

Data Protection

11.1 Personal data is processed in accordance with the Provider’s Privacy Policy.

11.2 The Provider complies with applicable data protection laws, including the EU General Data Protection Regulation (GDPR), where applicable.

Changes to the Service or Terms

12.1 The Provider may modify these Terms where required due to legal, technical, or operational reasons.

12.2 Users will be informed of material changes in advance.

12.3 Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

Governing Law and Jurisdiction

13.1 These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

13.2 Mandatory consumer protection laws of the user’s country of residence remain unaffected.

13.3 Where legally permissible, the place of jurisdiction shall be the registered seat of the Provider in Hanau, Germany.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
